These Terms assume a Delaware LLC, international sales of research-use-only materials, a binding arbitration clause with class-action waiver, and many payment methods. Selling research chemicals across the US, UK/EU, India, UAE, and Thailand raises country-specific legality, customs, and regulatory questions that these Terms do not resolve — confirm with counsel in each market.
Welcome to Amino Society. These Terms of Service are a binding agreement between you and Amino Society, a Delaware limited liability company doing business as Amino Society, governing your access to and use of the website at aminosociety.org and your purchase of products from us.
By accessing the Website or placing an order, you agree to these Terms. If you do not agree, do not use the Website or purchase from us. Sections 12 (Assumption of Risk), 13–15 (Warranties, Liability, Indemnification), and 16 (Arbitration & Class-Action Waiver) limit your legal rights — please read them carefully.
By using the Website you confirm that you are at least 21 years old, have the legal capacity to enter into these Terms, and are accessing the Website from a jurisdiction where doing so is lawful. If you act on behalf of an organization, you represent that you are authorized to bind it.
Access is intended for qualified researchers, laboratory professionals, and organizations engaged in legitimate scientific research. We may request verification of research credentials or institutional affiliation at any time and may decline or cancel any order or account if verification is not satisfactory.
All products sold by Amino Society are intended strictly for in-vitro laboratory and research use only. By purchasing, you acknowledge and agree that:
Products are not for human or animal consumption and are not drugs, foods, cosmetics, dietary supplements, or household chemicals.
Products are not intended to diagnose, treat, cure, mitigate, or prevent any disease or to affect any structure or function of the body.
Products and statements on the Website have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any comparable authority.
No content on the Website is medical advice, dosing guidance, or a recommendation for human or animal use.
You will handle, store, use, and dispose of products only as a qualified researcher, following applicable laboratory safety practices.
You are solely responsible for compliance with all laws and regulations governing the purchase, import, possession, handling, and use of these products in your jurisdiction.
See our separate Research Use Only and Disclaimer pages, which are incorporated into these Terms by reference.
You may need an account to purchase and track orders. You are responsible for keeping your credentials confidential and for all activity under your account. Provide accurate, current, and complete information and keep it updated. Notify us promptly of any unauthorized use.
All orders are offers to purchase and are subject to our acceptance, verification, and product availability. We may refuse, limit, or cancel any order at our discretion, including where we suspect misuse, ineligibility, fraud, or sanctions concerns.
Prices are shown in $ and may change without notice. We may correct pricing or description errors and cancel affected orders even after an order is placed. You authorize us to charge your selected payment method for the full order amount, including applicable taxes, shipping, duties, and fees.
Accepted payment methods include major credit and debit cards, bank and wire transfers, PayPal, Google Pay, PromptPay, and other methods displayed at checkout. Availability of a method may depend on your country. For bank transfer, e-check, or ACH payments, you authorize a one-time debit for the order total; once authorized these may not be cancelable.
You are responsible for all taxes, customs duties, and import fees except those we are legally required to collect.
We ship to the destinations made available at checkout. Shipping times are estimates only and are not guaranteed. We are not responsible for delays caused by carriers, customs, weather, or other events outside our reasonable control.
Title and risk of loss pass to you when the carrier accepts the shipment.
International customers are the importer of record and are solely responsible for ensuring that the products may lawfully be imported and possessed in their country and for paying all customs duties, taxes, and import fees. If a shipment is delayed, refused, seized, or destroyed by customs or a carrier, we are not responsible and, except as required by law, will not issue a refund or replacement.
Please verify your shipping, billing, and product selections before checkout. We are not responsible for errors or delivery failures caused by inaccurate or incomplete information you provide.
Because of the nature of our products, all sales are final once an order ships. We do not offer refunds for change of mind, dissatisfaction, or misuse.
Damaged, defective, or incorrect items: contact support@aminosociety.org within seven (7) days of delivery with your order number, photos, and a description. After verification, we will provide a one-time replacement of the affected item(s) at no charge. One replacement per customer per order. Reconstituted or improperly stored products are not eligible.
Cancellations are possible only before an order ships. Contact support@aminosociety.org promptly; once processed or shipped, an order cannot be canceled, recalled, or refunded.
No returns without prior written authorization. Unauthorized returns will be refused and not credited.
We are not responsible for improper storage, handling, or reconstitution after delivery.
All Website content — including text, graphics, logos, images, and software — is owned by or licensed to Amino Society and protected by intellectual-property laws. You may view and download content for personal, non-commercial research reference only. You may not copy, reproduce, distribute, modify, or create derivative works from Website content without our prior written consent.
You agree not to:
Use the Website for any unlawful purpose or in violation of these Terms;
Misrepresent your identity, eligibility, or affiliation;
Interfere with, disrupt, or attempt to gain unauthorized access to the Website or its systems;
Use bots, scrapers, or other automated means to access or copy the Website;
Resell products without our written authorization;
Use products in any manner inconsistent with their intended in-vitro research use; or
Discuss, promote, request, provide, or engage in human or animal dosing, administration, or consumption of products, or market or represent any product as suitable for human consumption, therapeutic, cosmetic, or veterinary use, through the Website, customer communications, or any other channel.
Violation may result in immediate cancellation of pending orders, account termination, and a permanent ban, at our sole discretion.
We may offer a referral program (currently a 15% commission to the partner and a 15% discount to referred customers, subject to change at our discretion). Participation is governed by our separate Affiliate Terms, incorporated here by reference.
We may suspend or terminate your account and refuse current or future use of the Website at any time, with or without cause, at our sole discretion — including for violation of these Terms, suspected misuse, failure to verify credentials, or conduct we deem harmful to our business or other customers. Termination does not relieve you of obligations that by their nature survive, including payment, indemnification, and the limitations below.
We do not currently send marketing or transactional text messages. If we introduce SMS messaging, it will be opt-in and governed by separate SMS Terms presented at enrollment, including message-frequency, “Reply STOP to opt out,” and “Reply HELP for help” disclosures, and consent to receive messages will not be a condition of purchase.
YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT YOUR PURCHASE, POSSESSION, HANDLING, STORAGE, AND USE OF ANY PRODUCT FROM AMINO SOCIETY IS AT YOUR SOLE AND EXCLUSIVE RISK. PRODUCTS ARE SOLD SOLELY FOR IN-VITRO LABORATORY USE. YOU VOLUNTARILY ASSUME ALL RISKS ASSOCIATED WITH THE PRODUCTS, INCLUDING RISKS FROM IMPROPER STORAGE, HANDLING, CONTAMINATION, DEGRADATION, MISUSE, OR ANY APPLICATION TO ANY HUMAN OR ANIMAL, AND WAIVE ALL CLAIMS AGAINST AMINO SOCIETY ARISING FROM SUCH USE OR MISUSE TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL PRODUCTS ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMINO SOCIETY AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR PERSONAL INJURY, ILLNESS, DEATH, PROPERTY DAMAGE, LOST PROFITS, OR LOST DATA, ARISING FROM OR RELATED TO THE WEBSITE OR PRODUCTS. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree to indemnify, defend, and hold harmless Amino Society and its owners, officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising from: (a) your use, misuse, or handling of products, including any injury, illness, death, or damage from administration to any human or animal; (b) any statements, health claims, dosing recommendations, or representations you make about our products; (c) any content or promotional materials you create referencing our products; (d) your violation of these Terms or any law or third-party right; or (e) any regulatory action against Amino Society arising from your acts or statements. This obligation survives termination.
PLEASE READ CAREFULLY — THIS AFFECTS YOUR LEGAL RIGHTS.
Binding arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms, the Website, or any product (a “Dispute”), other than those concerning intellectual property or seeking injunctive relief, will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its applicable rules. Arbitration will take place in Wilmington, Delaware, or by videoconference, before a single arbitrator. Judgment on the award may be entered in any court of competent jurisdiction.
Class-action waiver. YOU AND AMINO SOCIETY AGREE THAT DISPUTES WILL BE BROUGHT ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate claims or preside over class proceedings.
Small-claims exception. Either party may bring an individual claim in small-claims court within its jurisdictional limits.
30-day opt-out. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@aminosociety.org with your name and account email. If the class-action waiver is found unenforceable, this Section 16 is void and Disputes will be litigated in the state or federal courts in Delaware.
Mandatory law. Nothing in this Section waives any right you have under mandatory consumer-protection law in your country of residence that cannot be waived by agreement.
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where mandatory local law applies to consumers. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Changes. We may modify these Terms at any time; changes are effective when posted with an updated date. Your continued use after changes constitutes acceptance to the extent permitted by law.
Severability. If any provision is held invalid, the rest remains in effect.
Waiver. Our failure to enforce a provision is not a waiver.
Assignment. We may assign these Terms to an affiliate or successor; you may not assign without our consent.
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
Entire agreement. These Terms, with our Privacy Policy, Disclaimer, Research Use Only page, and Affiliate Terms, are the entire agreement between you and Amino Society and supersede prior understandings. No employee or agent statement modifies these Terms unless in a signed writing.
