These terms reference a 15% commission and 15% referred-customer discount, both changeable at your discretion; keep the live rates on the Partner Program page rather than hard-coding them in places that are hard to update. Paying international affiliates (India, UAE, Thailand, UK) triggers KYC/AML, sanctions screening, and tax-form obligations through your payment processor — confirm your processor supports your payout countries.
These Affiliate / Referral Program Terms (“Affiliate Terms”) govern your participation in the Amino Society referral program (the “Program”) operated by Amino Society, a Delaware limited liability company doing business as Amino Society (“Amino Society,” “we,” “our,” or “us”). By creating a referral code, accepting these terms, or otherwise participating, you agree to be bound by these Affiliate Terms, our Terms of Service, Privacy Policy, and Disclaimer. Section 13 contains a binding arbitration agreement and class-action waiver.
You must be at least 21 years old and legally able to enter into contracts in your jurisdiction. You represent that the information you provide is accurate and that you have authority to enter into these Affiliate Terms. You may not participate if we have previously terminated your participation, unless we reinstate you in writing.
You participate as an independent referrer, not as an employee, agent, contractor, partner, joint venturer, or franchisee of Amino Society. You have no authority to bind us, accept payment on our behalf, negotiate on our behalf, or hold yourself out as our representative, spokesperson, or official source. You may not register domains, handles, email addresses, or other identifiers that could be confused with ours.
We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to share your referral link and to mention Amino Society product names in accurate, non-disparaging contexts. You may not alter our logos or marks, create derivative branding, or use our assets in any way suggesting endorsement, sponsorship, or official representation. This license ends automatically on any suspension or termination of your participation, or at our discretion on notice.
The standard commission is 15% of qualifying net referred sales, and referred customers receive a 15% discount, each as posted on the Partner Program page.
Commission rates, the discount, qualifying-purchase rules, payout thresholds, and the payout schedule are set on the Partner Program page and may be changed, paused, or revoked at any time at our sole discretion, including to match promotions or sales. The posted terms at the time of a qualifying purchase control.
Commissions are earned only on completed, paid, non-refunded orders attributed to your referral link or code under our attribution rules. Commissions are subject to chargebacks, returns, refunds, and fraud review and may be reversed if an underlying order is refunded or charged back.
Self-referrals, fake clicks, cookie stuffing, brand bidding, and other manipulation do not earn commissions and are grounds for termination and forfeiture.
We may withhold, delay, offset, claw back, forfeit, or refuse to pay any earned-but-unpaid commission, in whole or in part, where we reasonably believe you have breached these Affiliate Terms, manipulated the Program, engaged in fraud, generated suspicious activity, or where withholding is necessary to comply with law, tax, a court order, or a third-party demand. Withheld commissions may be permanently forfeited. You waive any right to payment on a fixed schedule; our payment obligations are conditional on ongoing compliance.
KYC / AML / sanctions / tax processing. Before any payout, our payment processor may be required by applicable law (including, in the U.S., the Bank Secrecy Act, USA PATRIOT Act, and OFAC sanctions rules, and equivalent foreign law) to verify your identity, screen you against sanctions and watchlists, perform anti-money-laundering review, and collect a valid tax form (such as a W-9, W-8BEN, or local equivalent). If you fail any part of this processing for any reason — inaccurate information, identity-verification failure, a sanctions hit, an invalid tax form, a prohibited jurisdiction, or a processor decision — we are prohibited from paying you, and your commissions will be held until resolved or, if not resolved within a reasonable time, may be forfeited. We are not liable for any delay or non-payment arising from your failure to pass this processing.
Taxes. You are solely responsible for all taxes on amounts paid to you. We will not gross up or reimburse you for tax and will file informational returns (such as IRS Form 1099-NEC) only as required by law. Keep your tax forms accurate and current.
You are solely responsible for the truth, legality, accuracy, and consequences of every statement, post, video, message, advertisement, or other communication you publish in connection with the Program. We do not control, edit, or pre-approve your content and are not a publisher, sponsor, or endorser of it.
You will not:
Describe Amino Society products as suitable, safe, or intended for human or animal use, consumption, ingestion, injection, self-administration, dietary, supplement, cosmetic, veterinary, or any medical or therapeutic application;
Provide dosing, administration, cycling, or usage instructions directed at humans or animals;
Claim or imply that any product treats, cures, mitigates, diagnoses, prevents, or affects any disease, condition, symptom, or biological function;
Make any health, performance, hormonal, anti-aging, recovery, weight, fitness, or aesthetic claims;
Misrepresent the discount, fabricate offers or urgency, or mislead customers about pricing, savings, or Program terms;
Make false, misleading, deceptive, exaggerated, or unsubstantiated claims about Amino Society, its products, pricing, or practices;
Use our name or marks in paid search, domains, or any manner that misleads consumers about the source of an offer;
Promote Amino Society on platforms that prohibit it or that primarily target minors; or
Engage in spam, negative SEO, brand bidding, cookie stuffing, self-referrals, fake clicks, identity misuse, AI impersonation or deepfakes, or any practice designed to deceive or to manipulate Program metrics.
You must clearly and conspicuously disclose your material connection to Amino Society in every piece of content that includes your referral code or link or references our products. Acceptable disclosures include “#ad,” “#affiliate,” or plain statements such as “I earn a commission from this link.” Disclosures must not be buried, ambiguous, or in fine print. You are responsible for complying with the FTC Endorsement Guides and equivalent rules wherever your audience is located (including UK ASA/CAP, and applicable rules in India, the UAE, and Thailand).
You will comply with all applicable laws, including anti-spam laws (CAN-SPAM, CASL, UK/EU PECR and GDPR), consumer-protection and advertising rules, export controls, and sanctions laws. You will not engage in fraud, account takeover, scraping, or any practice designed to deceive or to manipulate Program metrics.
We may issue warnings or strikes for violations and will use commercially reasonable efforts to notify you by email of a strike, with the reason and how to appeal, within a reasonable time. As general (non-binding) guidance: minor first-time issues may receive a warning that does not count toward suspension; three counting strikes may lead to suspension; counting strikes older than 365 days stop counting; and you may appeal within 30 days by emailing support@aminosociety.org with the strike details.
You acknowledge that these are guidelines only and that we may, at our sole discretion, at any time, with or without cause or prior notice: terminate your participation; suspend, restrict, or close your account; deactivate your code and revoke your brand license; require removal of content referencing Amino Society; withhold, claw back, or forfeit unpaid commissions; and choose the type, severity, sequence, and timing of any enforcement action. No course of dealing or prior leniency waives these rights. Termination by us gives rise to no liability, except as required by non-waivable law.
We may review, audit, monitor, or investigate your content, click sources, referred orders, payment behavior, identity, and tax information for compliance. You agree to cooperate in good faith, including providing records, removing content within a reasonable time of a request, and responding to inquiries. Failure to cooperate is a material breach and grounds for suspension or termination.
Non-public information you receive about the Program (including commission structures, payout data, conversion data, roadmaps, and internal communications) is confidential. You will not disclose it or use it other than to participate in the Program, during and after your participation. This obligation survives termination.
The Program is provided “AS IS” and “AS AVAILABLE” without warranties of any kind. To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Our aggregate liability under these Affiliate Terms will not exceed the lesser of (a) the commissions actually paid to you in the six (6) months before the claim, or (b) one thousand U.S. dollars ($1,000).
You agree to defend, indemnify, and hold harmless Amino Society and its affiliates, officers, directors, employees, and agents from any third-party claims, regulatory actions, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your content, your acts or omissions, your breach of these Affiliate Terms, your violation of any law or third-party right, or your relationship with any referred customer.
READ CAREFULLY — THIS AFFECTS YOUR RIGHTS. Any dispute arising out of or relating to these Affiliate Terms or the Program (a “Dispute”), other than one concerning intellectual property or injunctive relief, will be resolved by final and binding individual arbitration administered by the AAA under its applicable rules, in Wilmington, Delaware, or by videoconference, before a single arbitrator. You waive any right to participate in a class, consolidated, or representative proceeding. You may opt out of arbitration within 30 days of first accepting these Affiliate Terms by emailing legal@aminosociety.org with your name and account email. If the class-action waiver is unenforceable, this Section is void and Disputes will be litigated in the state or federal courts in Delaware.
These Affiliate Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles, except where mandatory local law applies. We may modify these Affiliate Terms at any time by posting an updated version with a new effective date; continued participation constitutes acceptance. Sections relating to independence, restrictions, payouts, confidentiality, disclaimers, liability, indemnification, and arbitration survive termination. If a provision is invalid, the rest remains in effect. We may assign these Affiliate Terms; you may not assign without our consent. No failure to enforce a right is a waiver.
